Our attorneys assist clients in structuring and negotiating agreements for the design, integration, implementation and management of applications, systems and other technology solutions. Because our lawyers understand the technologies that drive business, we go beyond "terms and conditions" to help clients develop and negotiate critical documents such as statements of work, service level agreements, pricing schedules, information security requirements, and asset transfer agreements. LB3 is routinely engaged as lead counsel in information technology projects. The matters in which we are involved range from IT and data center sourcings to Enterprise Resource Planning (“ERP”) software procurements, and include application hosting, Enterprise 2.0 solutions, on-demand computing, global managed infrastructure services, and disaster recovery and managed security services. Information technology systems are increasingly comprised of interconnected servers, routers, and switches, all “powered” by unified communications software. Such systems present contractual and legal issues not raised by garden-variety agreements for the purchase and maintenance of software and equipment and the complexity is magnified when (as is increasingly common) acquisition and ongoing system management are combined in one agreement. With decades of experience negotiating IT and telecom deals, LB3 understands the relevant technologies and markets and is well positioned to assist in these complex transactions. We help clients implement strategic technology initiatives, distinguish vendor capabilities from vendor puffing, and debunk supplier claims of industry “standard” practices that work to the detriment of the customer. Enterprises also use LB3 to review and negotiate more routine technology infrastructure contracts, including equipment purchase agreements, software licenses, hardware and software maintenance contracts, software-as-a-service arrangements, and amendments/extensions of existing contracts. We bring to bear experience and expertise that can shorten procurement cycles, eliminate “on-the job” training, and free up in-house legal resources to focus on strategic matters.
